Terms of Service

These Terms govern every order, project, retainer, and engagement between Thriftizer Solutions LLP and you. They are written in plain English (no fine-print games) — read once, ask if anything is unclear, and you only ever need to read them again if something changes.

1. Acceptance of these terms

By placing an order on this Shopify storefront, signing a quote we send you on email or WhatsApp, paying an invoice, or instructing us to begin work — you (the 'Client') accept these Terms of Service in their entirety. These Terms together with the order or quote you accepted form the binding contract between you and Thriftizer Solutions LLP ('Thriftizer', 'we', 'us'), an Indian limited liability partnership registered in Bangalore. If you are accepting on behalf of a company, you confirm you are authorised to bind that company.

2. The services we provide

Thriftizer offers 79 fixed-price Shopify services across 10 categories: Store Setup, Theme Design, UI/UX Design, Migration, Marketing, SEO, Apps & Integrations, Mobile Apps, Dropshipping, and Support. Each service has a dedicated product page that explicitly lists the scope, deliverables, delivery window, payment, and exclusions. We also offer monthly retainers (Marketing Bundle Rs. 85,000/mo, SEO Monthly Rs. 33,200/mo, etc.) and custom-quoted projects (migrations, Shopify Plus builds, headless storefronts).

3. The order process

  1. You add to cart and pay via Razorpay (UPI, cards, EMI, net banking, wallets) or Stripe (international cards). Indian bank transfer or Wise/SWIFT for projects above Rs. 2,00,000 if you prefer.
  2. We email a GST invoice within 2 minutes of payment to the address you provided.
  3. Our project lead WhatsApps you within 4 hours during business hours (Mon–Sat 9 AM – 8 PM IST).
  4. We schedule a 30-min kickoff call on Google Calendar; for monthly retainers we run weekly check-ins.
  5. We deliver on the date promised and provide 7 days of free WhatsApp support after delivery.

4. Pricing, payment, and GST

All prices on the storefront are in INR and exclude 18% GST, which is calculated and added at checkout. We are GST-registered in Bangalore and issue tax-compliant invoices that you can claim as input credit. International clients can pay in USD via Stripe; UAE clients can pay in AED via Stripe or Wise. For custom projects above Rs. 2,00,000 we offer 50% upfront / 50% on delivery terms.

Pricing terms — important: Listed prices cover the standard scope shown on each product page. If your project has specific requirements outside the listed scope (custom integrations, larger catalogues, B2B logic, multi-currency, headless builds, or anything not explicitly listed), we will send a revised quote within 4 hours of reviewing your brief. No additional work begins until you approve the new scope and pricing in writing (email confirmation is sufficient).

4.1 Late payment on retainers

Monthly retainers are billed in advance on the 1st of every month. Payments more than 7 days late incur a 2% per month interest charge under section 16 of the Indian Sale of Goods Act. Retainers more than 30 days late are paused — including ad campaigns and SEO posting — until paid; we will not stop client-side platforms (Shopify Plus admin, Meta Business Manager) but our active management ceases.

5. Your responsibilities

To keep your project on schedule, we ask that you:

  • Provide all assets (logos, brand guidelines, product images, copy, references) within 3 working days of kickoff.
  • Provide Shopify staff access (or temporary collaborator code), Meta Business Manager admin access, Google Ads MCC link, and any other platform credentials required for scope.
  • Respond to WhatsApp messages and Loom videos within 2 working days; longer pauses extend our delivery commitments by an equivalent number of working days.
  • Approve milestones in writing on WhatsApp or email — silence is not approval.
  • Ensure you have legal rights to all content, fonts, images, code, brand assets you provide us; you indemnify Thriftizer against any third-party IP infringement claims arising from materials you supplied.

6. Our responsibilities

Thriftizer commits to:

  • Deliver the scope listed on the relevant product page on or before the promised date.
  • Reply within 4 hours during business hours.
  • Send daily WhatsApp updates on active projects, including Loom progress videos at every milestone.
  • Provide 7 days of free WhatsApp support after delivery for in-scope bug fixes.
  • Maintain the confidentiality of your data per the Privacy Policy and any NDA we sign.
  • Use only Indian or country-of-residence law-compliant tools and processes.

7. Intellectual property

7.1 Custom deliverables

Any code, design, copy, configuration, schema markup, or other custom deliverable we create specifically for your project becomes your property in full upon receipt of final payment. We assign all IP, copyright, and moral rights (where waivable) to you under section 14 and 18 of the Indian Copyright Act. You are free to modify, redistribute, or resell the work — though we appreciate attribution.

7.2 Pre-existing tools and code libraries

We use pre-existing internal frameworks (boilerplates, code libraries, reusable Shopify section patterns, internal automation scripts) developed before your project. These remain Thriftizer's IP and are licensed to you on a perpetual, non-exclusive, royalty-free basis for use within the deliverables. You cannot extract and resell our internal libraries as standalone products.

7.3 Third-party assets

Stock images, fonts, paid Shopify apps, third-party SaaS subscriptions purchased on your behalf remain governed by the third party's licence. We share licence keys and receipts with you.

7.4 Portfolio and case studies

Unless you specifically opt out in writing during kickoff, we may showcase the storefront URL, screenshots, anonymised metrics, and a 1-line testimonial in our portfolio, case studies, blog, partner directories (Shopify, Clutch, DesignRush), and pitch decks. We will never share private revenue figures, customer data, or pricing without explicit written approval.

8. Confidentiality

We treat all your business information, customer data, financial figures, marketing strategies, and platform credentials as confidential and apply the same protection to it as we apply to our own confidential information. Senior partners and project leads sign an internal NDA on joining the firm. We are happy to sign a separate Mutual NDA before kickoff for clients who request one — typically signed within 1 working day. Confidentiality survives termination of this contract for 5 years (or longer if your information includes trade secrets, in which case indefinitely).

9. Warranties and disclaimers

9.1 Our warranty

We warrant that all work is performed by qualified professionals to industry-standard quality. For 7 days after delivery, we will fix at no extra charge any deliverable that materially deviates from the agreed scope. Beyond 7 days, fixes are billed at our then-current support hourly rate (Rs. 2,400 / hour) or covered by a Support Retainer.

9.2 What we do not warrant

We do not warrant or guarantee specific business outcomes such as exact ROAS figures, traffic numbers, conversion rates, or revenue lifts — those depend on your product, pricing, market, brand, and other factors outside our control. We share indicative case-study numbers for similar clients and explain methodology; we never claim guaranteed outcomes for your specific business.

We do not warrant Shopify, Meta, Google, Razorpay, Stripe, Klaviyo or any other third-party platform — those are governed by their own terms.

10. Limitation of liability

To the maximum extent permitted by Indian law and your local consumer protection law:

  • Thriftizer's total aggregate liability for any single project is capped at the amount you paid for that project.
  • For monthly retainers, total liability for any 12-month period is capped at 3 months of fees for that retainer.
  • Neither party is liable for indirect, consequential, special, or punitive damages — lost profits, lost revenue, lost data, lost goodwill — even if advised of the possibility.
  • The cap does not apply to: gross negligence, willful misconduct, fraud, breach of confidentiality (section 8), or breach of IP assignment (section 7.1) — those have no cap.

11. Indemnification

You agree to indemnify and defend Thriftizer against any third-party claims arising from: (a) content, assets, or instructions you provided; (b) your use of the deliverables in violation of laws or third-party rights; (c) your business operations on the deliverables (payment processing fraud, regulatory non-compliance, etc.). Conversely, we indemnify you against third-party claims that our original deliverables infringe IP or violate confidentiality, up to the liability cap in section 10.

12. Termination

Either party may terminate a fixed-price project before delivery in line with our Refund Policy. Monthly retainers terminate on the last day of the month with at least 7 days' written notice. Termination does not waive any payment obligations for work already delivered or amounts past due.

13. Force majeure

Neither party is liable for delays or failure to perform caused by events beyond reasonable control: natural disasters, war, terrorism, government action, internet outages, Shopify/Meta/Google platform outages, or pandemics. The affected party will notify the other promptly and resume performance once feasible.

14. Governing law and dispute resolution

These Terms are governed by the laws of India. Disputes are first attempted in good-faith negotiation between the partners (escalation within 14 days). If unresolved after 30 days, either party may proceed to arbitration in Bangalore under the Arbitration and Conciliation Act 1996 with a single arbitrator mutually agreed (or appointed by the Bangalore Bar Association if not agreed within 30 days). Arbitration awards are binding and enforceable. Pending arbitration, courts in Bangalore have exclusive jurisdiction for interim relief.

15. Notices

Any formal notice under these Terms must be in writing, sent by email to task@thriftizer.in with a copy by registered post to our Bangalore address (section 1 of Privacy Policy). WhatsApp messages are sufficient for day-to-day project communication but not for formal contractual notices.

16. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions stay in full force. These Terms (together with any signed quote, the Privacy Policy, the Refund Policy, the Shipping Policy, and any signed NDA) constitute the entire agreement between us and supersede any prior verbal or email understanding.

17. Changes to these terms

We may update these Terms to reflect legal or operational changes. Updated Terms apply to new orders only; orders placed before the change continue under the version active at order time, unless legally compelled otherwise. Material changes are emailed to clients on our list and posted as a banner for 30 days.
